Franchise Partner Agreement

1. Who you are to us

• You are an independent business associate working for yourself. There is no employment, partnership, agency, joint venture or franchise in the legal sense (for example, under the Franchise laws) between you and the Company, and nothing here creates one.
• You have no authority to make promises, sign contracts, take money, or bind the Company in any way. You choose your own time and method, and bear your own costs.
• Membership is free. The Company does not charge you to join, and you must never charge a seller or anyone else for joining, registering or for your help.

2. Who can join

• You must be 18 or over and a person who can enter a contract. We verify your age and identity by Aadhaar through DigiLocker, and you upload a clear photograph of your Aadhaar card. Give true details, in your own name.
• One person can have one account. You may not let anyone else use your account or code.
• You agree that we may keep, check and share your identity details with our verification partners and with authorities where the law requires it, as in the Privacy Policy.

3. What you do

• You introduce sellers to Diwali Mela by your invite link or code, and keep your leads and follow-ups in your partner dashboard.
• You may call, message or meet people who could become sellers. You must do this lawfully, politely and honestly, within the hours and rules of the law on unsolicited calls and messages, and you must respect a person who says no or is on a Do Not Disturb list.
• The people you contact are your leads. You may import leads that you hold lawfully. You promise that you have the right to contact them and to give us their details.

4. Your reward

• You earn … for each seller who registers through your invite link or code and pays the … registration fee (the fee is paid once and is not refundable once the seller is verified). The seller must be new to the Platform.
• The reward becomes payable 24 hours after the seller's payment, if the payment stays paid and is not refunded or disputed, and the seller was not brought by fraud or a false promise.
• The Company decides if a seller counts as yours, from its own records. If two partners claim one seller, the first valid invite recorded by the system counts.
• The reward is a fixed amount for a result. It is not a salary. You earn nothing for effort, for leads that do not register, or for a seller who does not pay. The Company may change the amount for future sellers, with notice on the portal.
• The Company does not promise any income. Your earnings depend on you.

5. Payment, TDS and tax

• Rewards are paid to the bank account you give, by bank transfer, after verification. Payments are made by the Company manually and are not instant. Add your bank details in your profile: we cannot pay without them.
• Every payment is made after TDS. Tax is deducted at source at 2% once your rewards in a financial year pass …, as the Income-tax Act requires, and deposited in your name. A payout statement showing it is emailed to you each time.
• You are responsible for your own income tax, GST (if you are required to register for it) and any other tax on what you earn. The Company will give you the TDS details so you can claim credit. You must give a PAN if the law asks for one; the TDS rate may be higher without it.
• The Company may hold, reduce or take back a reward if it was paid by mistake, the seller's payment was refunded or reversed, or the seller was brought by a breach of this agreement.

6. What you must not do

• Do not make false promises: no guaranteed sales, income, profit, ranking or approval, and no false claim about the Company, its fees, its commission or its rules. Tell sellers the fee and the Seller Terms truthfully.
• Do not take money, documents, OTPs or passwords from a seller. Do not register or verify anyone else's account for them without their knowledge, or use fake or duplicate details, or your own family or yourself as a sham seller to earn rewards.
• Do not spam, harass or threaten, or use abusive or pressure tactics. Do not copy the Company's name, logo or site to deceive, or say that you work for it.
• Do not misuse the portal or the data in it. The data of leads and sellers you can see is for this work only, and must not be sold, shared or used for another purpose.

7. Data and confidentiality

You must keep the data you see (sellers' details, other partners' information, the Company's non-public information) confidential, protect your login, and use it only for this work, in line with the Digital Personal Data Protection Act, 2023 and the Privacy Policy. This continues after you stop being a partner.

8. Suspension and ending

• You may stop at any time by writing to us. Rewards already due are paid, after TDS.
• The Company may suspend or end your account at any time, and withhold rewards that are unpaid or in doubt, if you break this agreement or the law, if we suspect fraud or misuse, or if a seller or a regulator complains. We may recover any reward paid because of a breach.

9. Our liability

The Platform and the portal are provided as they are. The Company is not liable for any loss of profit, income or opportunity, for a seller who does not register or pay, or for a delay caused by a payment provider, a bank or an event beyond its control. Where the Company is liable to you, it is limited to the rewards due to you and unpaid. You will compensate the Company for any loss, claim or penalty that arises from your breach of this agreement, from anything you said to a seller that the Company did not authorise, or from your breach of the law.

10. Changes, law and disputes

The Company may change this agreement and will tell you on the portal or by email; if you carry on after that, you accept the change. This agreement is governed by the laws of India. Parties will first try to settle a dispute by talking; the courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction. Write to us at contact@digitalbookofindia.com.
